1. ACCEPTANCE OF TERMS

As a user of this system, you agree to the following Terms of Membership ("TOM"), which may be updated by us from time to time without notice to you.

2. DESCRIPTION OF CONTENT

Authorized users will have access to a rich and expanding collection of resources generated by Connecticare (CCI) and Chamber Insurance Trust (CIT), including, but not limited, to insertion schedules, brand identity information, advertising content, product literature and a growing repository of enhanced profiles held within the CIT / CCI Lead Repository. Material presented within the site is for the exclusive use of authorized selling agents of CIT / CCI and you agree to hold this information confidential and to use same for the sole purpose of supporting your selling effort of CCI products.

You understand and agree that the service is provided "AS-IS" and that CIT / CCI and IMG (the third party host of the application) assume no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or profile settings.

You are responsible for obtaining access to the Application and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees and for all equipment necessary to access the Service.

3. YOUR OBLIGATIONS OF MEMBERSHIP

Agent must be a member in good standing with the Chamber(s) of Commerce for which they wish to receive leads. This membership must be maintained.

In consideration of your use of the Application, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Applications enrollment and (b) maintain and promptly update the Enrollment Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or CIT, CCI or IMG have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, your rights will be suspended and your account may be terminated.

5. MEMBER ACCOUNT, PASSWORD AND SECURITY

You will receive a password and account designation upon completing the Applications registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify CIT of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. CIT, CCI and IMG cannot and will not be liable for any loss or damage arising from your failure to comply with this requirement.

6. NO RESALE OR USE OF INTELLECTUAL PROPERTY

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Application, use of the Application, or access to the Application. You acknowledge and agree that the Application and any necessary software used in connection with the Application contain proprietary and confidential information that is protected by applicable intellectual property and other laws.

7. MODIFICATIONS TO APPLICATION

CIT, CCI and IMG reserve the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Application (or any part thereof) with or without notice. You agree that CIT, CCI and IMG shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Application.

8. COMPLIANCE OF LEAD FOLLOW UP AND REPORTING

You recognize that CIT and CCI have made an initial and ongoing investment in the Application and that the purpose of this investment is to make the selling of CCI product more efficient and effective. To maintain the appropriate levels of information on the value of programs, campaigns, chamber initiatives and sales agent progress, you agree to provide follow-up on all leads provided to you by the Application. Additionally, this condition holds true for those leads entered by (and thus assigned to) an individual agent. For purposes of this section and the TOM, follow-up is defined as actual access of the individual record via the Application thereby modifying the present data values within 2 business days after receipt.

9. LINKS

The Application may provide links to other World Wide Web sites or resources. Because IMG has no control over such sites and resources, you acknowledge and agree that IMG is not responsible for the availability of such external sites or resources. You further acknowledge and agree that CIT, CCI and IMG shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource.

10. TERMINATION

You agree that CIT, CCI or IMG in their sole discretion, may terminate your password, account (or any part thereof) or use of the Application, for any reason, including, without limitation, if CIT, CCI or IMG believe that you have violated or acted inconsistently with the letter or spirit of the TOM.

You agree that any termination of your access to the Application under any provision of this TOM may be effected without prior notice, and acknowledge and agree that CIT, CCI or IMG may immediately deactivate or delete your account and all related information and/or bar any further access to such files or the Application. Further, you agree that CIT, CCI and IMG shall not be liable to you or any third-party for any termination of your access to the Application.
